1. Acceptance of Terms

2.2 Service Engagement

All professional services provided by Jinyi Trade are governed by separate service agreements, statements of work, or engagement letters executed between Jinyi Trade and the client. These individual agreements will specify the scope of work, deliverables, timelines, milestones, fees, payment schedules, acceptance criteria, and any other terms applicable to the specific engagement. In the event of any conflict or inconsistency between these Terms of Service and a separately executed service agreement, the terms of the service agreement shall prevail with respect to the specific engagement.

2.3 Service Modifications

Jinyi Trade continuously evolves its service offerings to reflect changes in technology, industry practices, and client needs. We reserve the right to modify, suspend, or discontinue any service offering, feature, or function of our website at any time without prior notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation of services, provided that such actions do not breach an existing service agreement with you.

3. User Accounts and Registration

3.1 Account Creation

Jinyi Trade reserves the right to suspend, deactivate, or terminate your account at any time, with or without cause, and with or without prior notice, if we determine in our sole discretion that you have violated these Terms of Service, engaged in fraudulent or illegal activity, or posed a risk to the security or integrity of our website or services. Upon termination, your right to access and use our website and services shall immediately cease, and any data associated with your account may be deleted in accordance with our data retention policies, unless otherwise required by law or a separate service agreement.

You acknowledge that our services and related technical data may be subject to export control laws and regulations of China and other jurisdictions. You agree to comply with all applicable export and import laws, including restrictions on destinations, end users, and end use. You shall not, directly or indirectly, export, re-export, or transfer any of our services or technical data to any country, individual, or entity subject to applicable export restrictions without obtaining prior authorization from the competent government authorities.

5. Intellectual Property Rights

5.2 Limited License

Subject to your compliance with these Terms of Service, Jinyi Trade grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our website for your personal or internal business purposes. This license does not include any right to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our website, except as expressly permitted by these Terms of Service or with our prior written consent.

5.3 Client Deliverables and Work Product

Unless otherwise agreed in a separate written service agreement, upon full payment for services rendered, Jinyi Trade grants each client a perpetual, non-exclusive, non-transferable license to use the deliverables and work product created specifically for that client in connection with the services provided. Jinyi Trade retains ownership of all pre-existing materials, tools, methodologies, frameworks, templates, and know-how used in the course of providing services, as well as the right to use general skills, knowledge, and experience acquired during client engagements in future work for other clients, provided that such use does not disclose confidential client information.

5.4 User-Generated Content

If you submit, upload, or transmit any content, materials, or information to our website or through our services, including feedback, suggestions, inquiries, or project specifications, you retain ownership of any intellectual property rights you hold in such content. However, by submitting content to us, you grant Jinyi Trade a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of providing our services, improving our website, and responding to your inquiries. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to submit such content and that your content does not infringe upon the intellectual property rights of any third party.

6. Confidential Information

6.1 Definition of Confidential Information

Confidential Information means any non-public information, data, or materials disclosed by one party to the other in connection with the provision or receipt of our services, whether orally, in writing, or through any other medium, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, but is not limited to, business plans, technical specifications, system architectures, source code, trade secrets, client lists, financial data, pricing information, project details, security protocols, and any information subject to non-disclosure agreements between the parties.

6.2 Obligations of Confidentiality

Each party agrees to hold the other partys Confidential Information in strict confidence and to use such information solely for the purpose of performing obligations or exercising rights under these Terms of Service and any applicable service agreement. Neither party shall disclose the others Confidential Information to any third party without the disclosing partys prior written consent, except to employees, contractors, or professional advisors who have a legitimate need to know such information and who are bound by confidentiality obligations at least as protective as those contained in these Terms.

6.3 Exceptions

The obligations of confidentiality shall not apply to information that: is or becomes publicly available through no breach of these Terms by the receiving party; was already in the receiving partys lawful possession without any obligation of confidentiality at the time of disclosure; is independently developed by the receiving party without use of or reference to the disclosing partys Confidential Information; or is required to be disclosed by applicable law, regulation, or court order, provided that the receiving party gives the disclosing party prompt written notice of such requirement and reasonably cooperates with the disclosing partys efforts to obtain a protective order or other appropriate remedy.

6.4 Return or Destruction of Confidential Information

Upon termination of the business relationship or upon the written request of the disclosing party, the receiving party shall promptly return or, at the disclosing partys option, securely destroy all copies of the disclosing partys Confidential Information in its possession or control, and shall provide written certification of such return or destruction. The receiving party may retain copies of Confidential Information to the extent required by applicable law, regulation, or its internal document retention policies for regulatory compliance purposes, provided that such retained copies remain subject to the confidentiality obligations of these Terms.

7. Payment Terms and Invoicing

7.1 Fees and Payment

Fees for professional services shall be as specified in the applicable service agreement, statement of work, or proposal accepted by the client. Unless otherwise agreed in writing, invoices are due and payable within thirty calendar days from the date of invoice. All fees are quoted and payable in the currency specified in the service agreement, which is typically United States Dollars or Chinese Renminbi. Jinyi Trade reserves the right to charge interest on overdue amounts at the rate of one and one-half percent per month, or the maximum rate permitted by applicable law, whichever is lower.

7.2 Taxes

All fees and charges are exclusive of applicable taxes, levies, duties, and similar governmental assessments of any nature, including value-added tax, goods and services tax, sales tax, and withholding tax, unless otherwise stated in the service agreement. The client is responsible for paying all such taxes, excluding taxes based on Jinyi Trades net income. If Jinyi Trade is required to pay or collect any taxes on behalf of the client, the client shall reimburse Jinyi Trade for such amounts or provide Jinyi Trade with an applicable tax exemption certificate prior to invoicing.

7.3 Expenses

Unless otherwise agreed in the service agreement, the client shall reimburse Jinyi Trade for all reasonable out-of-pocket expenses incurred in connection with the provision of services, including but not limited to travel expenses, accommodation, software license fees, third-party service charges, and equipment costs. Jinyi Trade shall provide appropriate documentation supporting such expenses upon the clients request. Travel and related expenses shall be incurred in accordance with Jinyi Trades standard travel policy, a copy of which is available upon request.

7.4 Suspension for Non-Payment

If any payment due under a service agreement is not received by Jinyi Trade within fifteen calendar days after the due date, Jinyi Trade may, without limiting its other rights and remedies, suspend the provision of services and access to deliverables until such amounts are paid in full. Jinyi Trade shall not be liable for any loss, damage, or delay resulting from such suspension, and the client acknowledges that project timelines and milestones may be adjusted accordingly to reflect the period of suspension.

8. Third-Party Services and Links

8.1 Third-Party Websites

Our website at https://www.jinyitrade.lat may contain links to third-party websites, platforms, applications, or services that are not owned, operated, or controlled by Jinyi Trade. These links are provided solely for your convenience and informational purposes. We do not endorse, sponsor, recommend, or assume any responsibility for the content, privacy policies, practices, products, or services offered by any third-party websites. You acknowledge and agree that Jinyi Trade shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such third-party websites or services.

In the course of providing our computer systems design and integrated services, we may recommend, implement, or integrate third-party software, platforms, APIs, cloud services, or other technology solutions on behalf of our clients. While we exercise professional judgment in selecting and recommending third-party tools, we do not guarantee the performance, security, or continued availability of any third-party products or services. Any warranties, support, or remedies for third-party products and services are provided solely by the applicable third-party vendor and not by Jinyi Trade.

8.3 Client-Furnished Materials

If you provide Jinyi Trade with access to your existing systems, software, data, network infrastructure, or other technology resources as part of our service engagement, you are solely responsible for the accuracy, quality, integrity, legality, and reliability of all such client-furnished materials. You represent and warrant that you have all necessary rights, licenses, and permissions to provide us with access to and use of such materials for the purposes of delivering our services.

9. Disclaimer of Warranties

9.1 As-Is Basis

To the fullest extent permitted by applicable law, our website and services are provided on an as-is and as-available basis, without any warranties of any kind, whether express, implied, statutory, or otherwise. Jinyi Trade expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, completeness, and any warranties arising from course of dealing, course of performance, or usage of trade.

9.2 No Guarantee of Results

Jinyi Trade does not warrant or guarantee that our website will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components. We make no representations or warranties regarding the results, outcomes, or benefits that may be obtained from the use of our website or services, including any increase in revenue, reduction in costs, improvement in operational efficiency, or achievement of any specific business objectives. 9.3 Technical and Professional Judgment

Our computer systems design, integration, consulting, cloud infrastructure, cybersecurity, and data analytics services are provided based on professional judgment, industry best practices, and the information made available to us by clients at the time of service delivery. Technology environments are complex and dynamic, and outcomes may be affected by factors beyond our control, including but not limited to changes in technology standards, software updates, third-party vendor decisions, regulatory developments, and the actions or omissions of the client or its other service providers.

10. Limitation of Liability

10.1 Exclusion of Damages

To the fullest extent permitted by applicable law, in no event shall Jinyi Trade, Zhijiangshi Dingling Commercial and Trading Co., Ltd., or any of their respective directors, officers, employees, agents, contractors, or affiliates be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of revenue, loss of business opportunities, loss of data, loss of goodwill, business interruption, system failure, or any other commercial or economic loss, regardless of the legal theory under which such damages are sought, whether in contract, tort including negligence, strict liability, or otherwise, even if Jinyi Trade has been advised of the possibility of such damages.

10.2 Cap on Liability

To the maximum extent permitted by applicable law, the aggregate liability of Jinyi Trade, its affiliates, and their respective officers, directors, employees, agents, and contractors to you for any and all claims arising out of or relating to these Terms of Service, our website, or our services, whether in contract, tort, or otherwise, shall be limited to the total amount of fees actually paid by you to Jinyi Trade during the twelve-month period immediately preceding the event giving rise to the claim. If no fees have been paid, our total aggregate liability shall be limited to one hundred United States dollars.

10.3 Allocation of Risk

The limitations of liability set forth in this section are fundamental elements of the basis of the bargain between you and Jinyi Trade. The services provided and the prices charged reflect the allocation of risk described in these Terms of Service. You acknowledge and agree that Jinyi Trade would not be able to provide its services on an economically viable basis without these limitations and that these limitations shall apply even if any remedy fails of its essential purpose.

10.4 Exceptions

Nothing in these Terms of Service shall exclude or limit Jinyi Trades liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by applicable law. The limitations and exclusions in this section do not affect any statutory rights that you may have as a consumer where such rights cannot be waived or limited by contract.

11. Indemnification

11.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Jinyi Trade, Zhijiangshi Dingling Commercial and Trading Co., Ltd., and their respective directors, officers, employees, agents, contractors, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys fees and court costs, arising out of or relating to:

  • Your violation of any term, condition, representation, warranty, or obligation set forth in these Terms of Service.

Jinyi Trade shall promptly notify you in writing of any claim subject to indemnification and shall provide you with reasonable cooperation and assistance in the defense of such claim, at your expense. You shall have sole control over the defense and settlement of any indemnified claim, provided that you shall not enter into any settlement that imposes any admission of liability or ongoing obligation on Jinyi Trade without our prior written consent, which shall not be unreasonably withheld. Jinyi Trade reserves the right to participate in the defense of any claim at its own expense with counsel of its own choosing.

12. Termination and Suspension

12.1 Termination by You

You may terminate your agreement to these Terms of Service at any time by discontinuing your use of our website and services and notifying Jinyi Trade in writing of your decision. Termination of these Terms of Service does not terminate any separate service agreement between you and Jinyi Trade, which shall continue to be governed by its own terms, including provisions relating to termination, post-termination obligations, and survival of terms.

12.2 Termination by Jinyi Trade

Jinyi Trade may terminate or suspend your access to our website and services immediately, without prior notice or liability, for any reason including but not limited to: your breach of these Terms of Service; your failure to pay fees when due; your engagement in fraudulent, illegal, or harmful conduct; a request by law enforcement or other government authorities; unexpected technical or security issues; or discontinuance or material modification of our services. Jinyi Trade may also terminate these Terms of Service at any time without cause upon reasonable notice to you.

12.3 Effect of Termination

Upon termination of these Terms of Service, all rights and licenses granted to you under these Terms shall immediately cease, and you must promptly discontinue all use of our website. The provisions of these Terms of Service that by their nature should survive termination shall so survive, including but not limited to intellectual property rights, confidentiality obligations, disclaimer of warranties, limitation of liability, indemnification, governing law, and dispute resolution provisions. Termination shall not relieve you of any obligation to pay fees accrued or owing prior to the effective date of termination.

13. Governing Law and Jurisdiction

13.1 Governing Law

These Terms of Service and any dispute or claim arising out of or in connection with them, including non-contractual disputes or claims, shall be governed by and construed in accordance with the laws of the Peoples Republic of China, without giving effect to any conflict of laws principles that would result in the application of the laws of a different jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms of Service or any transactions conducted pursuant to them.

13.2 Jurisdiction

Subject to the dispute resolution provisions set forth in Section 14, you agree that any legal action or proceeding arising out of or relating to these Terms of Service shall be brought exclusively in the competent courts of Yichang, Hubei Province, Peoples Republic of China. You irrevocably submit to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts, including any claim of inconvenient forum. You agree that a final judgment in any such action or proceeding shall be conclusive and may be enforced in other jurisdictions by suit on the judgment or in any other manner provided by law.

13.3 International Users

Our website is operated from and our services are provided from our offices in Yichang, Hubei Province, China. We make no representation that our website, services, or materials are appropriate or available for use in locations outside of China. If you access our website or engage our services from outside China, you do so on your own initiative and are responsible for compliance with all applicable local laws and regulations in your jurisdiction. You agree that you will not use our services in any manner prohibited by applicable export controls, sanctions, or trade restrictions.

14. Dispute Resolution

14.1 Informal Negotiation

Jinyi Trade values its relationships with clients and users and is committed to resolving disputes in a fair and efficient manner. Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms of Service through good-faith informal negotiations. To initiate this process, you must send a written notice describing the nature and basis of your claim to Jinyi Trade by email at mail@jinyitrade.lat and by certified mail to our registered address at No. 297, Jiefang Road, Majiadian Street, Zhijiang City, Yichang 443000, Hubei Province, China. Both parties shall have a period of sixty calendar days from receipt of such notice to attempt to resolve the dispute informally.

14.2 Mediation

If the dispute is not resolved through informal negotiations within the sixty-day period, the parties agree to submit the dispute to non-binding mediation administered by a mutually agreed-upon mediation institution in China. The mediation shall be conducted in Mandarin Chinese or English, as agreed by the parties, and shall take place in Yichang, Hubei Province. Each party shall bear its own costs of mediation, and the fees and expenses of the mediator shall be shared equally by the parties.

14.3 Arbitration

If the dispute remains unresolved after mediation, the parties agree that any dispute arising out of or relating to these Terms of Service, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by binding arbitration administered by the China International Economic and Trade Arbitration Commission in accordance with its arbitration rules in effect at the time of the arbitration. The arbitration shall be conducted in Mandarin Chinese in Yichang, Hubei Province, before a single arbitrator mutually agreed upon by the parties or, failing agreement, appointed by CIETAC. The arbitral award shall be final and binding on the parties, and judgment upon the award may be entered in any court having jurisdiction.

14.4 Waiver of Class Actions

To the fullest extent permitted by applicable law, you and Jinyi Trade agree that each party may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class action, collective action, or representative proceeding. You agree to waive any right to a jury trial or to participate in a class action lawsuit against Jinyi Trade. This class action waiver may not be severed from these Terms of Service unless a court of competent jurisdiction finds it to be unenforceable in its entirety.

15. Force Majeure

15.1 Definition

Neither party shall be held liable for any delay or failure in the performance of its obligations under these Terms of Service or any service agreement if such delay or failure arises from causes beyond the reasonable control of the affected party. Force majeure events include, but are not limited to, acts of God, natural disasters, earthquakes, floods, fires, epidemics, pandemics, public health emergencies, acts of war, terrorism, civil unrest, riots, insurrection, strikes or other labor disputes, government orders, embargoes, sanctions, changes in laws or regulations, failures of the internet or telecommunications infrastructure, power outages, cyber attacks, denial of service attacks, or any other circumstances beyond the reasonable control of the affected party.

15.2 Effect of Force Majeure

If a force majeure event occurs, the affected party shall promptly notify the other party in writing, describing the event and its anticipated impact on performance. The obligations of both parties shall be suspended for the duration of the force majeure event, and any applicable deadlines or timelines shall be extended by a period equal to the duration of the event. The affected party shall use commercially reasonable efforts to mitigate the effects of the force majeure event and to resume performance as soon as reasonably practicable. If a force majeure event continues for more than ninety consecutive days, either party may terminate the affected service agreement without liability by providing written notice to the other party.

16. Severability and Waiver

16.1 Severability

If any provision of these Terms of Service is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be deemed severed from these Terms and shall not affect the validity and enforceability of the remaining provisions, which shall remain in full force and effect. The parties shall negotiate in good faith to replace any invalid, illegal, or unenforceable provision with a valid provision that most closely reflects the original economic and commercial intent of the parties.

16.2 Waiver

No waiver by Jinyi Trade of any term or condition set forth in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Jinyi Trade to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision. No waiver shall be effective against Jinyi Trade unless made in writing and signed by an authorized representative of Jinyi Trade.

16.3 Entire Agreement

These Terms of Service, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Jinyi Trade with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter. No amendment to or modification of these Terms of Service shall be effective unless made in writing and posted on our website or signed by both parties.
